The exact scope of services provided to each client will depend on the quotation, proposal, agreement, invoice, or other written communication accepted between Entrepot Media and the client.

2. Use of Our Website

You agree to use our website only for lawful purposes.

You must not:

  • Use the website for fraudulent, illegal, or malicious activities.

The scope of work, deliverables, pricing, timeline, and other project-specific conditions may be defined separately.

Where project-specific terms conflict with these general Terms & Conditions, the mutually agreed project-specific written terms may take precedence for that engagement.

4. Client Responsibilities

Clients are responsible for providing accurate and timely information necessary for us to perform the agreed services.

This may include:

  • Business information

  • Website content

  • Images, videos, logos, and branding materials

  • Domain and hosting access

  • Website administrator credentials

  • Social media account access

  • Advertising account access

  • Google Business Profile access

  • Analytics access

  • Product or service information

  • Required approvals and feedback

Delays in providing information, credentials, content, approvals, or feedback may affect project timelines.

The client is responsible for ensuring that materials supplied to Entrepot Media can legally be used for the intended purpose.

5. Quotations and Pricing

Prices provided through proposals or quotations are based on the project requirements known at the time of preparation.

If the scope of work changes, additional charges may apply.

Requests for additional pages, functionality, integrations, campaigns, revisions, content, design work, or services outside the agreed scope may be quoted separately.

Prices may also change for future services or renewals.

6. Payment Terms

Payment terms will generally be specified in the applicable quotation, invoice, proposal, or agreement.

Depending on the service, we may require:

  • Advance payment

  • Milestone-based payments

  • Monthly payments

  • Subscription payments

  • Renewal payments

  • Final payment before project handover

Clients are responsible for making payments according to the agreed schedule.

Entrepot Media reserves the right to pause, restrict, or discontinue services where payments remain overdue.

7. Third-Party Costs

Unless specifically included in a written quotation, third-party expenses may not be included in our service fees.

Such expenses may include:

  • Domain registration and renewal

  • Website hosting

  • Premium themes

  • Premium plugins

  • Software licenses

  • Advertising budgets

  • Google Ads expenditure

  • Meta/Facebook/Instagram advertising expenditure

  • SMS or messaging charges

  • WhatsApp API charges

  • Third-party API charges

  • Stock images or premium media

  • External software subscriptions

The client may be responsible for paying these costs separately.

8. Website Development Projects

For website development projects, the client is responsible for reviewing and approving the website before final delivery or launch.

Minor revisions may be included depending on the agreed project scope.

Significant changes to an approved design, functionality, structure, or project scope may result in additional charges and changes to the delivery timeline.

After project completion, additional modifications, maintenance, updates, security management, backups, hosting support, or technical assistance may be charged separately unless covered by an ongoing maintenance agreement.

9. SEO Services

Search engine optimization involves many factors that are outside the direct control of Entrepot Media.

Search engines may change their algorithms, ranking systems, policies, and indexing practices at any time.

Therefore, unless specifically agreed otherwise in writing, we do not guarantee:

  • A specific search engine ranking

  • A #1 Google ranking

  • A specific amount of website traffic

  • A specific number of leads

  • A particular revenue result

  • Permanent ranking positions

We will use reasonable professional practices to improve website visibility according to the agreed SEO scope.

10. Social Media Marketing

Social media platforms are operated by independent third parties and may modify their algorithms, policies, advertising systems, features, or account requirements at any time.

Entrepot Media cannot guarantee specific follower growth, engagement levels, reach, leads, sales, or other outcomes unless expressly stated in a separate written agreement.

Clients remain responsible for the accuracy and legality of information regarding their products, services, offers, claims, and promotions.

11. Paid Advertising

For paid advertising services, advertising expenditure may be separate from our management or service fees.

Advertising platforms such as Google, Meta, and other third-party platforms independently control:

  • Advertisement approvals

  • Account restrictions

  • Advertisement rejection

  • Cost per click

  • Cost per lead

  • Audience reach

  • Campaign delivery

  • Platform policies

  • Account suspension

Entrepot Media cannot guarantee a specific number of leads, conversions, sales, or return on advertising expenditure unless specifically stated in a written agreement.

12. WhatsApp, SMS, RCS and Communication Services

Where we provide WhatsApp Business, SMS, RCS, voice, chatbot, or other communication solutions, clients are responsible for using such services in compliance with applicable laws and the policies of the relevant platform or service provider.

Clients must not use these services for:

  • Illegal communications

  • Fraudulent activities

  • Spam

  • Harassment

  • Misleading promotions

  • Unauthorized messaging

  • Content prohibited by applicable platform policies

Accounts or services may be restricted by third-party providers if their policies are violated.

13. Intellectual Property

Unless otherwise agreed in writing, the content, branding, graphics, designs, code, concepts, layouts, and other materials appearing on the Entrepot Media website are owned by or licensed to Entrepot Media.

They may not be copied, reproduced, distributed, modified, republished, or commercially exploited without prior authorization.

For client projects, ownership and usage rights for final deliverables may be governed by the applicable project agreement, proposal, or quotation.

Third-party software, plugins, fonts, images, themes, APIs, and other licensed materials remain subject to their respective licenses.

14. Client Content and Materials

The client represents that they have the necessary rights, permissions, or licenses to use any text, images, logos, videos, trademarks, databases, or other materials supplied to Entrepot Media.

Entrepot Media will not be responsible for copyright, trademark, privacy, or other claims arising from materials supplied by a client without appropriate authorization.

15. Project Timelines

Any project completion date or estimated timeline is based on the information and requirements available at the time.

Timelines may be affected by:

  • Delayed client feedback

  • Delayed content submission

  • Changes in project scope

  • Third-party service issues

  • Technical complications

  • Platform approval processes

  • Server or hosting issues

  • Events beyond our reasonable control

We will make reasonable efforts to communicate significant changes to expected timelines.

16. Cancellations and Refunds

Cancellation and refund eligibility may depend on the specific service, project stage, work already completed, third-party costs incurred, and terms stated in the relevant proposal or agreement.

Payments for completed work, services already delivered, third-party expenses, advertising expenditure, domain registration, hosting, licenses, software subscriptions, or other non-recoverable expenses may be non-refundable.

Any specific refund or cancellation terms included in a quotation, invoice, proposal, or agreement will apply to that service.

17. Confidentiality

Both Entrepot Media and the client should take reasonable measures to protect confidential business information shared during a project.

Confidential information may include:

  • Login credentials

  • Business strategies

  • Customer information

  • Campaign information

  • Pricing information

  • Internal documentation

  • Unpublished business information

Confidential information will not intentionally be disclosed to unauthorized third parties except where required to deliver the service or comply with applicable law.

18. Third-Party Platforms

Our services may depend on third-party platforms and providers, including search engines, social media networks, hosting companies, domain registrars, advertising networks, messaging providers, software providers, and APIs.

Entrepot Media is not responsible for outages, policy changes, account restrictions, price changes, data loss, service interruptions, or other actions caused by third-party providers beyond our reasonable control.

19. Limitation of Liability

To the extent permitted by applicable law, Entrepot Media will not be liable for indirect, incidental, special, consequential, or business losses resulting from the use or inability to use our website or services.

This may include loss of profits, revenue, opportunities, data, search rankings, advertising performance, leads, or business reputation resulting from circumstances beyond our reasonable control.

Nothing in these Terms & Conditions excludes liability that cannot legally be excluded under applicable law.

20. No Guarantee of Business Results

Digital marketing and technology services depend on numerous factors, including competition, market conditions, customer behaviour, platform algorithms, advertising budgets, website performance, pricing, products, and business operations.

Past performance or projections should not be considered a guarantee of future results.

21. Suspension or Termination of Services

We reserve the right to suspend or terminate services where reasonably necessary, including in cases involving:

  • Non-payment

  • Illegal activities

  • Misuse of our services

  • Fraudulent activity

  • Abuse of our staff or systems

  • Violation of third-party platform policies

  • Material breach of agreed terms

Outstanding payments for work already performed may remain payable following termination.
